These Terms of Service (“Terms”) form a binding agreement between you and Asqria Labs, Inc., a Delaware corporation that operates Cadr (“Cadr,” “we,” “us,” or “our”), governing your access to and use of cadr.ai, the Cadr agent platform, and any related services (the “Service”). By creating an account, starting a trial, connecting a tool, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Cadr provides a hosted platform that lets businesses configure and operate an autonomous “AI employee” that can take actions across third-party tools you connect (for example, email, e-commerce, social, and productivity platforms), following the instructions, skills, and rules you assign. The Service relies on large language models and on integrations brokered by third-party providers.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- If you sign up on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to both you individually and that entity.
- You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at ping@cadr.ai if you suspect unauthorized access.
- The Service is not available to persons located in, or to entities controlled by persons located in, jurisdictions subject to comprehensive U.S. sanctions.
3. Free trial and preview features
New workspaces start on a free trial of limited duration and usage, as described in the Service. When the trial ends, continued use requires a paid plan. We may offer beta or preview features labelled as such, which are provided “as is”, may be changed, restricted, or discontinued at any time, and carry no service-level commitment.
4. Your content and data
“Your Content” means instructions, skills, rules, files, messages, and any other data you or your teammates submit to the Service or that we retrieve from third-party tools at your direction. You retain all rights to Your Content. You grant Cadr a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works from Your Content solely to operate, secure, and improve the Service for you, and as otherwise described in our Privacy Policy. You are responsible for Your Content and for ensuring you have the rights necessary to submit it and to authorize the actions you ask your agent to take.
5. Third-party tools and integrations
The Service lets you connect third-party platforms. When you connect a tool, you authorize Cadr to access and act on data in that tool using the scopes you approve. Third-party services are provided by their respective owners, are governed by their own terms and privacy policies, and may change their APIs, terms, rates, or availability at any time. Cadr is not responsible for third-party services, and outages or changes in third-party services may affect the Service. You are responsible for complying with the terms of every platform you connect.
6. AI outputs
Your agent generates text, decisions, and actions using large language models. AI outputs can be incomplete, inaccurate, or inappropriate for a given use. You are responsible for reviewing outputs and actions before relying on them, and for configuring appropriate guardrails (approval steps, restricted scopes, rate limits) for sensitive workflows. As between you and us, and subject to applicable third-party model terms, you own the outputs generated for your workspace and are responsible for how they are used. Do not submit content you do not have the right to process, and do not use the Service to generate unlawful, deceptive, or harmful content.
7. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service to violate any law, regulation, third-party right, or platform policy of a connected tool;
- send spam; harass, defraud, impersonate, or harm others; or target minors;
- generate or distribute malware, phishing content, CSAM, or content that promotes violence or discrimination;
- attempt to reverse engineer, decompile, or extract the source code, weights, or prompts underlying the Service, except to the extent this restriction is prohibited by law;
- probe, scan, or test the vulnerability of the Service, or circumvent rate limits, authentication, or security controls;
- resell, sublicense, or offer the Service as a standalone product to third parties without our written agreement; or
- use the Service to build a competing product or to benchmark it for publication without our prior written consent.
8. Fees and billing
Fees, billing cycles, usage limits, and payment terms are disclosed in the Service or in your order form. Plans are billed per person per month; usage beyond the included allowance is sold in credit packs. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and auto-renew until cancelled. We may change pricing on notice; changes do not apply retroactively to the current paid term. Overdue amounts may incur interest at the lower of 1.5%/month or the maximum rate permitted by law.
9. Feedback
If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without obligation to you.
10. Intellectual property
Cadr and its licensors own all right, title, and interest in and to the Service, including software, documentation, trademarks, and the look and feel. Except for the limited rights expressly granted in these Terms, no rights are granted to you. “Cadr” and our logos are our trademarks; you may not use them without our prior written consent.
11. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use confidential information only to exercise rights and perform obligations under these Terms, and will protect it with the same care it uses for its own confidential information (and in any case no less than reasonable care).
12. Suspension and termination
You may stop using the Service and delete your workspace at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk to us or others, or if required by law. On termination, your right to use the Service ends immediately, and except as described in our Privacy Policy, we will delete Your Content in the ordinary course. Sections that by their nature should survive termination (including Sections 4, 9, 10, 13, 14, 15, and 17) will survive.
13. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Cadr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or produce accurate or reliable results. You are solely responsible for your use of AI outputs and any actions taken on your behalf.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages. Cadr’s aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Cadr for the Service in the twelve months preceding the event giving rise to liability, or (b) one hundred U.S. dollars ($100). These limitations apply regardless of the theory of liability and will not apply to the extent prohibited by law.
15. Indemnification
You will defend, indemnify, and hold harmless Cadr and its officers, directors, employees, and agents from and against any third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) Your Content, (ii) your use of the Service in violation of these Terms or applicable law, (iii) your instructions to your agent, or (iv) your connected tools and the actions taken within them.
16. Changes to the Service and these Terms
We may modify the Service at any time and may update these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and give reasonable notice (for example, by email or an in-product banner). Changes take effect on the date stated in the notice; if you do not agree, you must stop using the Service before that date. Your continued use after the effective date constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The state and federal courts located in Wilmington, Delaware will have exclusive jurisdiction over any dispute that is not required to be resolved informally or through arbitration under applicable law, and each party consents to personal jurisdiction there. To the extent permitted by law, each party waives any right to a jury trial and to participate in a class or representative action.
18. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and Cadr regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
